These general terms, hereinafter referred to as the \u201cTerms and Conditions\u201d, is to be applied between Nordic Executive Medicine AB (559076\u20136381), hereinafter referred to as \u201cNEM\u201d and the customer, hereinafter referred to as \u201cCustomer\u201d who has signed an agreement \u201cAgreement\u201d with NEM.<\/p>\n
The Customer is also responsible for ensuring that those who, because of the Agreement, use the Products defined in \u00a71, hereinafter referred to as \u201cEnd Users\u201d, shall comply with the contents herein.<\/p>\n
NEM, End User and the Customer are hereinafter also referred to individually as \u201cPart\u201d and collectively as \u201cParties\u201d.<\/p>\n
<\/p>\n
\u00a71 Products\/Health as a service<\/strong><\/p>\n NEM offers a \u201cHealth as a service\u201d solution, through NEM, together with third-party supplements. End Users can get health advice from NEM, through physical and\/or digital meetings with a licensed professional, for example a doctor, in the General Terms and Conditions defined as \u201cService\u201d. By signing a separate End User Agreement, End Users can also collect individual health data and assign NEM these, for use in its health advice.<\/p>\n NEM also offer recommendations of various goods, herein defined as \u201cGoods\u201d distributed by partners to NEM, directly through NEM and\/or external independent party. The goods provided are specified in the Agreement and by ongoing agreement between the Parties. These are mutually defined as \u201cGoods\u201d.<\/p>\n The Goods and the Service are jointly defined as the \u201cProducts\u201d.<\/p>\n <\/p>\n \u00a72 General<\/strong><\/p>\n The health care End Users receive through the Products, are provided by NEM or another care provider with whom NEM has an agreement. NEM\u2019s care provider liability is not regulated by these conditions, but instead follows from the applicable legislation, such as the Patient Act, the Patient Data Act, and the Health and Medical Care Act. In the event of an urgent need for care, End Users shall always call 112 (or other local emergency number) or seek emergency care in the firstly.<\/p>\n <\/p>\n \u00a73 Signing the Agreement<\/strong><\/p>\n The Customer enters an agreement with NEM, in the Terms and Conditions referred to as the \u201cAgreement\u201d, when the Customer buys one or more of the Products in \u00a71 through the website www.nem.health<\/strong>. By signing, the Customer accepts the Terms and Conditions.<\/p>\n If the Customer has previously had an equivalent to the Agreement with NEM, which has been terminated resulting from a breach of something specified in the Terms and Conditions, special permission must be obtained from the Customer at NEM before signing the Agreement.<\/p>\n <\/p>\n \u00a74 Contact information<\/strong><\/p>\n The Customer and End User are responsible for ensuring that the contact information provided at the conclusion of the Agreement is correct, and undertake to immediately update their contact information with NEM throughout the period of the Agreement. Changes must be notified to contact@nem.health without delay.<\/p>\n <\/p>\n \u00a75 General information about the use of the Products<\/strong><\/p>\n To use the Products, the End User must be at least eighteen (18) years old. The products may only be used by and refer to the person or persons covered by the Agreement and signs the End User License Agreement when registering. This is apart from legal guardians, who may, where applicable, seek care for children (under the age of 18) for whom they are the legal guardian. In this case, the guardian holds the responsibility as the End User.<\/p>\n The End User is responsible for any action taken on its behalf, through the Products provided and its use of the Products. NEM is not responsible for third-party misuse of the Products or for consequences and any damages thereof.<\/p>\n End users are responsible that the Products are being used, in accordance with the Terms and Conditions, other conditions stated in\/on the Products and any applicable law. End user is solely responsible for the information shared on or via the Products and is thus solely responsible for the content therein.<\/p>\n By entering into the Agreement, and where applicable also signing the End User License Agreements, End User and the Customer confirm and accept that the specified contact information is used by NEM, to contact the End User and the Customer via e-mail and telephone with important information regarding the services and\/kr changes in the Agreement, in accordance with \u00a714.<\/p>\n End users must use the provided Goods in accordance with the product descriptions, manuals and similar that accompany the Goods.<\/p>\n Information and offers published or provided by NEM are a complement to medical advice and are not intended to be used in lieu of a physician\u2019s assessment, diagnosis or treatment of illness. Use of the Products is only a complement to the standard care and is intended as an aid for the standard care, to provide effective care to its patients.<\/p>\n <\/p>\n \u00a76 Prices, invoicing and payment<\/strong><\/p>\n Prices and fees for the Products are stated when purchasing the product. Upon purchase of NEM360 the fee will be charged monthly. NEM reserves the right to charge fixed fees in advance as specified in the Agreement. Any variable fees and\/or additions, NEM has the right to charge in addition.<\/p>\n In the event of non-payment by the Customer, NEM has the right to immediately cancel all its services, until payment has been made. If the Customer\u2019s payment is more than 30 days late, NEM has the right to terminate the Agreement immediately.<\/p>\n <\/p>\n \u00a77 NEM\u2019s responsibilities and limitations of liability<\/strong><\/p>\n NEM aims to have high availability. End users and the Customer shall have reasonable opportunity to get in touch with NEM and use the Service. With restriction to what is otherwise stated in the Terms and Conditions, NEM is responsible for the Service being available during reasonable amount of time. Regarding third-party apps and other goods or products the respective product\u2019s availability applies.<\/p>\n NEM is not responsible for content linked to or from the Products or NEM\u2019s website https:\/\/nem.health<\/a>.<\/strong><\/p>\n NEM is not responsible for interruptions in the Availability of the Products caused by (1) faults in the Customer\u2019s equipment and networks or faults in third-party products that NEM cannot remedy. (2) Other circumstance for which the Customer is responsible, or NEM is not responsible for, in accordance with the Terms and Conditions. (3) Virus or other security attack despite NEM\u2019s protective measures.<\/p>\n NEM is only responsible for the data and advice that NEM itself provides through the Products. NEM is not responsible for any data and advice from third parties.<\/p>\n Interruptions and\/or errors in the Products must be reported to NEM without delay via contact@nem.health<\/strong>. NEM has the right to remedy interruptions or errors at its own expense if this can be done within a reasonable time and without significant inconvenience to End Users. If the issue cannot be solved, the Customer is entitled to a reasonable price deduction\/cost compensation. This, except for what is otherwise stated in the Terms and Conditions.<\/p>\n NEM is not responsible for interruptions or errors that are due to the End User, the Customer or any other relationship for which the End User or the Customer is responsible. Furthermore, NEM is not responsible for any form of personal injury or other consequences that may be the result of direct, or indirect use or misuse of information provided through the Products. NEM\u2019s liability is in any case limited to liability for proven direct damage and to a maximum amount corresponding to twenty-four thousand (24,000) SEK. NEM is thus not liable for consequential damages, lost profits, expected savings and\/or other indirect damages.<\/p>\n <\/p>\n \u00a78 Responsibilities of End users and the Customer<\/strong><\/p>\n The customer undertakes to follow the Terms and Conditions and any other instructions specified by NEM. The customer is also responsible for the End User doing the same.<\/p>\n End User and the Customer are responsible for the accuracy of the information provided by the End User and the Customer in connection with the registration and use of the Products. NEM is not responsible for any damages that arise as a result of the End User or the Customer providing incorrect information or otherwise not complying with the Terms and Conditions.<\/p>\n End User and the Customer undertake to keep everything NEM provides as a result of the Agreement, in a secure manner and not to use or disclose this information to unauthorized persons. If the End User or the Customer suspects, or should suspect that such information has come to the attention of unauthorized persons or is in another way misused, the End User and the Customer are obliged to take immediate action to restrict access to the Products, and inform NEM via contact@nem.health.<\/strong><\/p>\n <\/p>\n The End User and the Customer are responsible for all activities undertaken by each Party, such as the provision of data and the use of the Goods. End users and the Customer are responsible for following any instructions from NEM and complying with applicable laws, rules and government decisions, as well as ethical and moral values \u200b\u200bwhen using the Products. End users may also not use the Products in such a way that third parties suffer inconvenience or damage, or in such a way that infringes on third party rights.<\/p>\n <\/p>\n \u00a79 Intellectual property rights, etc.<\/strong><\/p>\n Ownership, copyright, and all other rights to NEM\u2019s trademark, company, product design and other documents used and\/or provided by NEM belong to NEM, or where applicable, its subcontractor. NEM thus reserve the exclusive rights to use this material and at the same time prohibits any copying, alteration, transfer and\/or other use of this information and these documents. End User and the Customer confirm and accept that unauthorized use of NEM\u2019s intellectual property rights constitutes a violation of the Agreement and may be criminal. NEM reserves the right to take legal action in the event of such unauthorized use of NEM\u2019s intellectual property rights.<\/p>\n Any intellectual property rights that arise as a result of the Agreement shall accrue to NEM, with exclusive rights, including free onward transfer and sublease.<\/p>\n <\/p>\n \u00a710 Cancellation<\/strong><\/p>\n End users have the right to cancel a meeting with NEM free of charge, up to 24 hours before the booked video meeting and 48 hours before the booked physical meeting. If cancellation is made according to the above, any payments must be refunded within 20 days. If canceled by the End User later than stated above in this paragraph, the Customer is still liable for payment and waives the right to any refund.<\/p>\n <\/p>\n \u00a711 Unauthorized use<\/strong><\/p>\n End User and the Customer do not have the right to carry on information, components, documents, etc. in any way from the Products, unless otherwise specifically stated, or with the written approval of NEM.<\/p>\n NEM reserves the right to, at any time without liability for any consequences, suspend End User\u2019s right to the Products, or take other similar measures in the event of End User\u2019s or Customer\u2019s breach of contract, or when End User\u2019s use of the Products risks the Products reliability. In this case, NEM also has the right to immediately terminate the Agreement without the requirement of repayment.<\/p>\n If the End User or the Customer has violated the Agreement, applicable law, or otherwise used the Products in an illegal or unauthorized manner, the Customer is obliged to compensate and hold NEM indemnified from any damage NEM has been caused by this.<\/p>\n <\/p>\n \u00a712 Contract period and termination<\/strong><\/p>\n The agreement is valid for twelve (12) months from the date of entering the Agreement in accordance with \u00a73 if the Products have a continuous subscription with monthly payments. Subsequent to these twelve months, the agreement continuous automatically if neither NEM nor the Customer terminate the agreement. The notice period is three (3) calendar months from the date of ending the contract.<\/p>\n The customer is never, because of termination, entitled to a refund of payments already made.<\/p>\n NEM has the right to terminate the Agreement for immediate cancelation if the End User or the Customer, violates the Terms and Conditions and does not within three (3) calendar months from written notice thereof correct the violation. In the event of such termination, End Users will be suspended from using the Products and stored information about End Users and the Customer shall be promptly deleted.<\/p>\n Upon termination of the Agreement, NEM shall, for whatever reason, promptly remove all provided and stored information related to the Agreement, except for what is otherwise specified in NEMs Privacy policy.<\/p>\n <\/p>\n \u00a713 Right of withdrawal<\/strong><\/p>\n You have the right to withdraw from this agreement without giving any reason within 14 days if the service has not been used. The service is considered to be used when the End User has used the service such as the chat, email or calls with staff, schedule of blood work, schedule of physician consultation or similar.<\/p>\n The withdrawal period expires 14 days following the day You entered the Agreement.<\/p>\n To exercise the right of withdrawal, you must inform us via one of the following contact channels of your decision to withdraw from this contract by an unequivocal statement via email to contact@nem.health<\/a><\/strong> or via post to:<\/p>\n Nordic Executive Medicine AB<\/p>\n Vaksalagatan 2<\/p>\n 753 20 Uppsala<\/p>\n You may use this<\/a> <\/strong>attached model withdrawal form, but it is not obligatory.<\/p>\n To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.<\/p>\n If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.<\/p>\n You shall send back the goods or hand them over to us without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of 14 days has expired.<\/p>\n You will bear the cost of returning the goods, maximum 200 SEK. You are liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the goods.<\/p>\n If you have requested the services to begin already during the withdrawal period you will pay a fee in proportion to your received service until you notified us you intention to withdraw from the agreement.<\/p>\n <\/p>\n \u00a714 Development and changes in conditions<\/strong><\/p>\n NEM reserves the right to make changes to the Products. Goods- and Service Development may, for example but not limited to, refer layout, functionality, and content. By continuing to use the Products, the Customer and End User accept any changes to the Terms and Conditions that these changes entail.<\/p>\n The Customer has the right to terminate the Agreement for immediate cancellation in the event that NEM\u2019s changes in the Products are to the significant detriment of the End User or the Customer, which can be demonstrated.<\/p>\n NEM has the right to change the Terms and Conditions, with notification no later than 30 days before the change. Changes must be presented on NEM\u2019s website and\/or via e-mail. End User and the Customer are responsible for keeping up to date on these changes. By continuing to use the Products, the End User and the Customer are automatically deemed to have approved the changes.<\/p>\n <\/p>\n \u00a715 Force Majeure<\/strong><\/p>\n If a Party\u2019s performance of its obligations under the Agreement is hindered or prevented due to circumstances beyond the Party\u2019s control, and which the Party could not have reasonably foreseen when the Agreement was signed, and the consequences of which the Party could not reasonably have avoided or overcome, this shall provide grounds for exemption from damages and other penalties.<\/p>\n <\/p>\n \u00a716 Secrecy<\/strong><\/p>\n Each Party undertakes to observe full confidentiality during the term of the agreement, regarding all information received from the other Party and which is stated to be or is obviously confidential. And not to use such information in any other way than to achieve the Party\u2019s obligations under the Agreement. Information that is generally known before entering into the Agreement shall not be considered confidential.<\/p>\n <\/p>\n NEM is responsible for ensuring that the confidentiality obligations are observed by its employees as well.<\/p>\n <\/p>\n \u00a717 Transfer and subcontractors<\/strong><\/p>\n Neither Party may transfer all or part of its rights or obligations under the Terms and Conditions without the other party\u2019s written consent. Except that NEM may transfer its rights or obligations to another company within the same group.<\/p>\n NEM furthermore has the right to engage subcontractors to fulfill its obligations under the Agreement.<\/p>\n <\/p>\n \u00a718 Personal Data<\/strong><\/p>\n More information on how NEM handles and processes personal data is available at: https:\/\/nem.health\/privacy-policy\/.<\/strong><\/a><\/p>\n <\/p>\n \u00a719 Dispute<\/strong><\/p>\n The Agreement and the Terms and Conditions shall be interpreted and applied in accordance with Swedish law. Disputes due to the Agreement and the Terms and Conditions shall be decided in a general court with Uppsala District Court as the first instance.<\/p>\n <\/p>\n \u00a720 Other<\/strong><\/p>\n Should any provisions of these Terms and Conditions be invalid, this shall not result in all provisions being invalid. Slutanv\u00e4ndare kan hos NEM f\u00e5 h\u00e4lsor\u00e5dgivning, genom fysiska och\/eller digitala m\u00f6ten med en legitimerad yrkesut\u00f6vare, exempelvis en l\u00e4kare, i Allm\u00e4nna villkoren definierat \u201dTj\u00e4nsten\u201d. Genom godk\u00e4nnande av ett separat Slutanv\u00e4ndaravtal, kan Slutanv\u00e4ndare \u00e4ven samla individuella h\u00e4lsodata och tilldela NEM dessa, f\u00f6r anv\u00e4ndning i h\u00e4lsor\u00e5dgivningen.<\/p> NEM kan \u00e4ven ge Slutanv\u00e4ndaren rekommendationer om olika fysiska produkter, i Allm\u00e4nna Villkoren definierat \"Varorna\" som tillhandah\u00e5lls av samarbetspartners till NEM, direkt via NEM och\/eller extern oberoende part. De varor som tillhandah\u00e5lls anges vid k\u00f6p och efter l\u00f6pande \u00f6verenskommelse mellan Parterna. Dessa definieras gemensamt \u201dVarorna\u201d.<\/p> Varorna och Tj\u00e4nsten, definieras gemensamt \u201dProdukterna\u201d.<\/p> \u00a0<\/p> \u00a72 Allm\u00e4nt<\/strong><\/p> Den h\u00e4lso- och sjukv\u00e5rd Slutanv\u00e4ndare f\u00e5r via Produkterna tillhandah\u00e5lls av NEM eller annan v\u00e5rdgivare som NEM har avtal med. NEM tar inte ansvar f\u00f6r den v\u00e5rd som Kund och\/eller Slutanv\u00e4ndare f\u00e5r hos andra v\u00e5rdgivare som inte NEM har avtal med och NEMs i f\u00f6rekommande fall v\u00e5rdgivaransvar regleras inte av dessa villkor, utan f\u00f6ljer av till\u00e4mplig lagstiftning, s\u00e5som patientlagen, patientdatalagen, samt h\u00e4lso- och sjukv\u00e5rdslagen. Vid akut behov av v\u00e5rd ska Slutanv\u00e4ndare alltid ringa 112 eller upps\u00f6ka akutmottagning i f\u00f6rsta hand.<\/p> \u00a0<\/p> \u00a73 Avtalstecknande<\/strong><\/p> Avtalet ing\u00e5s genom att kunden godk\u00e4nner dessa Allm\u00e4nna villkor n\u00e4r denne k\u00f6per en eller flera av Produkterna i \u00a71 via hemsidan nem.health. Genom detta k\u00f6p accepterar Kunden de Allm\u00e4nna villkoren. \u00a0<\/p> \u00a74 Kontaktuppgifter<\/strong><\/p> Kund och Slutanv\u00e4ndare ansvarar f\u00f6r att de kontaktuppgifter som l\u00e4mnas vid Avtalets ing\u00e5ende \u00e4r korrekta, samt f\u00f6rbinder sig att genast uppdatera sina kontaktuppgifter hos NEM under hela avtalstiden. \u00c4ndringar ska utan dr\u00f6jsm\u00e5l meddelas till contact@nem.health<\/strong><\/a>.<\/p> \u00a0<\/p> \u00a75 Allm\u00e4nt om anv\u00e4ndande av Produkterna<\/strong><\/p> F\u00f6r att anv\u00e4nda Produkterna kr\u00e4vs att Slutanv\u00e4ndare \u00e4r minst arton (18) \u00e5r gammal. Produkterna f\u00e5r bara anv\u00e4ndas av, och avse den eller de personer som omfattas av Avtalet och undertecknar Slutanv\u00e4ndaravtalet i samband med registrering. Detta med undantag f\u00f6r v\u00e5rdnadshavare, som i f\u00f6rekommande fall kan s\u00f6ka v\u00e5rd f\u00f6r barn (under 18 \u00e5r) som denne \u00e4r v\u00e5rdnadshavare f\u00f6r. V\u00e5rdnadshavare innehar i detta fall ansvaret som Slutanv\u00e4ndare.<\/p> Slutanv\u00e4ndare ansvarar f\u00f6r varje handling som f\u00f6retas f\u00f6r dennes r\u00e4kning, genom de tillhandah\u00e5llna Produkterna och dennes anv\u00e4ndning av Produkterna. NEM ansvarar inte f\u00f6r utomst\u00e5endes missbruk av Produkterna eller f\u00f6r konsekvenser och eventuella skador d\u00e4rav. Genom att ing\u00e5 Avtalet och i f\u00f6rekommande fall \u00e4ven underteckna ett Slutanv\u00e4ndaravtal, bekr\u00e4ftar och accepterar Kund och Slutanv\u00e4ndare att angivna kontaktuppgifter anv\u00e4nds av NEM f\u00f6r att kontakta Slutanv\u00e4ndare och\/eller Kunden via e-mail och telefon med viktig information g\u00e4llande tj\u00e4nst och eller \u00e4ndringar i Avtalet, i enlighet med \u00a714. Information och erbjudanden som publiceras eller tillhandah\u00e5lles av NEM utg\u00f6r ett komplement till medicinsk r\u00e5dgivning och \u00e4r inte avs\u00e4tt att anv\u00e4ndas ist\u00e4llet f\u00f6r en l\u00e4kares bed\u00f6mning, diagnos eller behandling av sjukdom. Anv\u00e4ndning av Produkterna \u00e4r endast ett komplement till den g\u00e4ngse v\u00e5rden och \u00e4r avsett som ett hj\u00e4lpmedel f\u00f6r den g\u00e4ngse v\u00e5rden att tillhandah\u00e5lla effektiv v\u00e5rd till sina patienter.<\/p> \u00a0<\/p> \u00a76 Priser, fakturering och betalning<\/strong><\/p> Priser och avgifter f\u00f6r Produkterna framg\u00e5r vid k\u00f6p av Produkten. Vid k\u00f6p av NEM360 debiteras summan vid k\u00f6p m\u00e5natligen. NEM f\u00f6rbeh\u00e5ller sig r\u00e4tten att i f\u00f6rskott debitera fasta avgifter som anges i Avtalet. Eventuella r\u00f6rliga avgifter och\/eller till\u00e4gg har NEM r\u00e4tt att debitera d\u00e4rut\u00f6ver.<\/p> Vid utebliven betalning fr\u00e5n Kunden, \u00e4ger NEM r\u00e4tten att omg\u00e5ende st\u00e4lla in samtliga dess prestationer, till dess att betalning erlagts. Om Kundens betalning \u00e4r mer \u00e4n 30 dagar f\u00f6rsenad, \u00e4ger NEM r\u00e4tt att omg\u00e5ende s\u00e4ga upp Avtalet.<\/p> \u00a0<\/p> \u00a77 NEMs ansvar och ansvarsbegr\u00e4nsningar<\/strong><\/p> NEM har som m\u00e5ls\u00e4ttning att ha h\u00f6g tillg\u00e4nglighet. Slutanv\u00e4ndare och Kunden ska ha en rimlig m\u00f6jlighet att komma i kontakt med NEM och anv\u00e4nda Tj\u00e4nsten. Med de begr\u00e4nsningar som annars anges i Allm\u00e4nna villkoren, ansvarar NEM f\u00f6r att Tj\u00e4nsten \u00e4r tillg\u00e4nglig inom rimlig tid. Avseende eventuella appar och andra produkter g\u00e4ller respektive app\/produkts egna tillg\u00e4nglighetsvillkor.<\/p> NEM ansvarar inte f\u00f6r inneh\u00e5ll som eventuellt l\u00e4nkas till eller fr\u00e5n Produkterna eller fr\u00e5n NEMs hemsida https:\/\/nem.health.<\/a><\/strong><\/p> NEM ansvarar inte f\u00f6r avbrott i Produkternas tillg\u00e4nglighet som orsakas av (1) fel i Kundens utrustning och n\u00e4tverk eller fel i tredjeparsprodukter som NEM inte kan avhj\u00e4lpa. (2) annan omst\u00e4ndighet som Kunden ansvarar f\u00f6r, eller NEM inte ansvarar f\u00f6r enligt Allm\u00e4nna villkoren. (3) virus eller annat s\u00e4kerhetsangrepp trots NEMs skydds\u00e5tg\u00e4rder.<\/p> NEM ansvarar endast f\u00f6r den data och de r\u00e5d som NEM sj\u00e4lva tillhandah\u00e5ller genom Produkterna. NEM ansvarar inte f\u00f6r eventuella data och r\u00e5d fr\u00e5n tredje man.<\/p> Avbrott och\/eller fel i Produkterna ska utan dr\u00f6jsm\u00e5l anm\u00e4las till NEM via contact@nem.health. NEM har r\u00e4tt att p\u00e5 egen bekostnad avhj\u00e4lpa avbrott eller fel f\u00f6rutsatt att det kan ske inom sk\u00e4lig tid och utan v\u00e4sentlig ol\u00e4genhet f\u00f6r Slutanv\u00e4ndare. Om avhj\u00e4lpande inte kan ske har Kunden r\u00e4tt till sk\u00e4ligt prisavdrag\/kostnadsers\u00e4ttning. Detta med undantag f\u00f6r vad som annars anges i de Allm\u00e4nna villkoren.<\/p> NEM ansvarar inte f\u00f6r avbrott eller fel som beror p\u00e5 Slutanv\u00e4ndare, Kunden eller annat f\u00f6rh\u00e5llande som Slutanv\u00e4ndare eller Kunden ansvarar f\u00f6r. NEM ansvarar vidare inte f\u00f6r n\u00e5gon form av personskada eller andra f\u00f6ljder som kan vara ett resultat av direkt, eller indirekt anv\u00e4ndning eller felanv\u00e4ndning av information tillhandah\u00e5llen genom Produkterna. NEMs ansvar \u00e4r under alla omst\u00e4ndigheter begr\u00e4nsat till ansvar f\u00f6r styrkt direkt skada och till ett maximalt belopp motsvarande tjugofyra tusen (24 000) SEK. NEM ansvarar s\u00e5ledes inte f\u00f6r f\u00f6ljdskador, utebliven vinst, utebliven f\u00f6rv\u00e4ntad besparing och\/eller andra indirekta skador.<\/p> \u00a0<\/p> \u00a78 Slutanv\u00e4ndares och Kundens ansvar<\/strong><\/p> Kunden f\u00f6rbinder sig att f\u00f6lja de Allm\u00e4nna villkoren och eventuella andra instruktioner som NEM anger. Kunden ansvarar \u00e4ven f\u00f6r att Slutanv\u00e4ndaren g\u00f6r detsamma.<\/p> Slutanv\u00e4ndare och Kunden ansvarar f\u00f6r riktigheten i den information som l\u00e4mnas av Slutanv\u00e4ndare respektive Kunden i samband med registrering och anv\u00e4ndning av Produkterna. NEM ansvarar inte f\u00f6r eventuella skador som uppkommer till f\u00f6ljd av att Slutanv\u00e4ndare eller Kunden l\u00e4mnat felaktig information eller p\u00e5 annat s\u00e4tt inte f\u00f6ljt de Allm\u00e4nna villkoren.<\/p> Slutanv\u00e4ndare och Kunden f\u00f6rbinder sig att bevara allt NEM tillhandah\u00e5llit som en f\u00f6ljd av Avtalet p\u00e5 ett betryggande s\u00e4tt och inte anv\u00e4nda eller avsl\u00f6ja denna information f\u00f6r obeh\u00f6rig. Om Slutanv\u00e4ndare eller Kunden misst\u00e4nker, eller borde misst\u00e4nka att s\u00e5dan information kommit till obeh\u00f6rigs k\u00e4nnedom eller p\u00e5 annat s\u00e4tt missbrukas, \u00e4r Slutanv\u00e4ndare och Kunden skyldiga att genast vidta \u00e5tg\u00e4rder f\u00f6r att begr\u00e4nsa \u00e5tkomst till Produkterna, samt informera NEM via contact@nem.health<\/a><\/strong>.<\/p> Slutanv\u00e4ndare och Kunden ansvarar f\u00f6r alla aktiviteter som vidtas av respektive Part, s\u00e5som tillhandah\u00e5llande av data och anv\u00e4ndande av Varorna. Slutanv\u00e4ndare och Kunden ansvarar f\u00f6r att f\u00f6lja eventuella instruktioner fr\u00e5n NEM samt iaktta g\u00e4llande lagar, regler och myndighetsbeslut, s\u00e5v\u00e4l som etiska och moraliska v\u00e4rderingar vid anv\u00e4ndning av Produkterna. Slutanv\u00e4ndare f\u00e5r inte heller anv\u00e4nda Produkterna p\u00e5 s\u00e5dant s\u00e4tt att tredje man drabbas av ol\u00e4genhet eller skada eller p\u00e5 s\u00e5dant s\u00e4tt som g\u00f6r intr\u00e5ng i tredje mans r\u00e4ttigheter.<\/p> \u00a0<\/p> \u00a79 Immateriella r\u00e4ttigheter m.m.<\/strong><\/p> \u00c4gander\u00e4tt, upphovsr\u00e4tt och alla \u00f6vriga r\u00e4ttigheter till NEMs varum\u00e4rke, firma, Produktdesign och \u00f6vriga dokument som anv\u00e4nds och\/eller tillhandah\u00e5lls av NEM tillh\u00f6r NEM, eller i f\u00f6rekommande fall underleverant\u00f6r. NEM f\u00f6rbeh\u00e5ller sig s\u00e5ledes den exklusiva r\u00e4tten att anv\u00e4nda detta material och f\u00f6rbjuder samtidigt all kopiering, \u00e4ndring, \u00f6verl\u00e5telse och\/eller annan anv\u00e4ndning av denna information och dessa handlingar. Slutanv\u00e4ndare och Kunden bekr\u00e4ftar och accepterar att otill\u00e5ten anv\u00e4ndning av NEMs immateriella r\u00e4ttigheter utg\u00f6r ett brott mot Avtalet och kan vara brottsligt. NEM f\u00f6rbeh\u00e5ller sig r\u00e4tten att vidta r\u00e4ttsliga \u00e5tg\u00e4rder vid s\u00e5dan otill\u00e5ten anv\u00e4ndning av NEMs immateriella r\u00e4ttigheter.<\/p> Eventuella immateriella r\u00e4ttigheter som uppkommer som ett resultat av Avtalet ska tillfalla NEM, med ensamr\u00e4tt, inkluderat fri vidare\u00f6verl\u00e5telse och vidareuppl\u00e5telse.<\/p> \u00a0<\/p> \u00a710 Avbokning<\/strong><\/p> Slutanv\u00e4ndare har r\u00e4tt att till och med 24 timmar f\u00f6re inbokat videom\u00f6te och 48 timmar f\u00f6re inbokat fysiskt m\u00f6te kostnadsfritt avboka m\u00f6tet. Om avbokning sker enligt ovan skall eventuell erlagd betalning \u00e5terbetalas inom 20 dagar. Vid avbokning fr\u00e5n Slutanv\u00e4ndares sida senare \u00e4n vad som anges ovan i detta stycke, \u00e4r Kunden fortfarande betalningsskyldig och fr\u00e5ns\u00e4ger sig r\u00e4tt till eventuell \u00e5terbetalning.<\/p> \u00a0<\/p> \u00a711 Otill\u00e5ten anv\u00e4ndning<\/strong><\/p> Slutanv\u00e4ndare och Kund \u00e4ger inte r\u00e4tt att p\u00e5 n\u00e5got s\u00e4tt f\u00f6ra information, komponenter, handlingar m.m. ut fr\u00e5n Produkterna, om inte annat specifikt anges, eller vid skriftligt godk\u00e4nnande fr\u00e5n NEM.<\/p> NEM f\u00f6rbeh\u00e5ller sig r\u00e4tten att n\u00e4r som helst utan ansvar f\u00f6r eventuella konsekvenser, avbryta Slutanv\u00e4ndares r\u00e4tt till Produkterna, eller vidta andra motsvarande \u00e5tg\u00e4rder i fall av Slutanv\u00e4ndares eller Kundens avtalsbrott, eller d\u00e5 Slutanv\u00e4ndares anv\u00e4ndande av Produkterna riskerar dess tillf\u00f6rlitlighet. NEM har i detta fall \u00e4ven r\u00e4tt att omg\u00e5ende s\u00e4ga upp Avtalet utan krav till \u00e5terbetalning.<\/p> Om Slutanv\u00e4ndare eller Kunden brutit mot Avtalet, g\u00e4llande r\u00e4tt, eller p\u00e5 annat s\u00e4tt anv\u00e4nt Produkterna p\u00e5 ett olagligt eller otill\u00e5tet s\u00e4tt, \u00e4r Kunden skyldig att ers\u00e4tta och h\u00e5lla NEM skadel\u00f6st fr\u00e5n eventuell skada NEM orsakas h\u00e4rav.<\/p> \u00a0<\/p> \u00a712 Avtalstid och upps\u00e4gning<\/strong><\/p> Avtalet g\u00e4ller i tolv (12) m\u00e5nader fr\u00e5n och med dagen d\u00e5 Avtalet ing\u00e5tts enligt \u00a73 f\u00f6r de Produkter som har en fortl\u00f6pande prenumeration med m\u00e5natliga betalningar. Efter dessa tolv m\u00e5nader fortl\u00f6per Avtalet automatiskt om NEM eller Kunden ej skriftligen s\u00e4ger upp Avtalet. Upps\u00e4gningstid om tre (3) kalenderm\u00e5nader g\u00e4ller vid upps\u00e4gning av dessa avtal.<\/p> Kunden har aldrig, till f\u00f6ljd av upps\u00e4gning, r\u00e4tt till \u00e5terbetalning av redan erlagd betalning.<\/p> NEM har r\u00e4tt att s\u00e4ga upp Avtalet till omedelbart upph\u00f6rande om Slutanv\u00e4ndare eller Kunden bryter mot Allm\u00e4nna villkoren och inte inom tre (3) kalenderm\u00e5nader fr\u00e5n skriftligt p\u00e5pekande d\u00e4rom vidtar r\u00e4ttelse. Vid s\u00e5dan upps\u00e4gning st\u00e4ngs Slutanv\u00e4ndare av fr\u00e5n anv\u00e4ndande av Produkterna och lagrad information om Slutanv\u00e4ndare och Kunden ska skyndsamt tas bort.<\/p> NEM ska, vid Avtalets upph\u00f6rande, oavsett anledning, skyndsamt avl\u00e4gsna all tillhandah\u00e5llen och lagrad information relaterat till Avtalet, f\u00f6rutom vad som annars anges i NEMs integritetspolicy.<\/p> \u00a0<\/p> \u00a713 \u00c5ngerr\u00e4tt<\/strong><\/p> Kund\/Slutanv\u00e4ndare har r\u00e4tt att fr\u00e5ntr\u00e4da detta avtal utan att ange n\u00e5got sk\u00e4l inom 14 dagar, om inte tj\u00e4nsten har utnyttjats. Tj\u00e4nsten anses vara utnyttjad n\u00e4r Slutanv\u00e4ndaren har nyttjat tj\u00e4nsten i form av chatt, email eller samtal med personal, bokning av blodprov, bokning av l\u00e4karkonsultation eller dylikt.<\/p> \u00c5ngerfristen l\u00f6per ut 14 dagar efter dag d\u00e5 avtalet ingicks.<\/p>Allm\u00e4nna villkor<\/h1>
Om kunden tidigare haft en motsvarighet till Avtalet med NEM, som avslutats till f\u00f6ljd av brott mot n\u00e5got som anges i de Allm\u00e4nna villkoren, ska s\u00e4rskilt godk\u00e4nnande inh\u00e4mtas av Kunden hos NEM innan kund ing\u00e5r Avtal igen.<\/p>
Slutanv\u00e4ndare ansvarar f\u00f6r att Produkterna anv\u00e4nds i enlighet med Allm\u00e4nna villkoren, andra villkor som anges i\/p\u00e5 Produkterna samt vid var tid g\u00e4llande r\u00e4tt. Slutanv\u00e4ndare ansvarar ensam f\u00f6r den information denne delar p\u00e5 eller via Produkterna och \u00e4r s\u00e5ledes ensam ansvarig f\u00f6r inneh\u00e5llet d\u00e4ri.<\/p>
Slutanv\u00e4ndare b\u00f6r anv\u00e4nda eventuella tillhandah\u00e5llna Varor i enlighet med de produktbeskrivningar, handb\u00f6cker och liknande som medf\u00f6ljer Varorna.<\/p>
